Terms of Service
By accessing the Noor trade portal (“Platform”) operated by Adnoor Inc. (“Adnoor,” “we”), you agree to these terms.
1. The Platform
Noor provides catalogue access, indicative pricing, sample requests, private-label studio, shipment tracking, compliance documents, and AI-assisted trade-desk communication for registered wholesale buyers.
2. Trade Accounts
Access to quoting, ordering, and private-label features requires an approved trade account. Applications are reviewed by the trade desk within two business days. Adnoor reserves the right to approve, decline, or suspend any account at its sole discretion.
3. Pricing & Quotations
All prices displayed on the Platform or quoted through Noor AI are indicative only. No price constitutes a binding offer until confirmed in writing by an authorised Adnoor representative. Prices are subject to change based on market conditions, availability, and order volume.
4. Orders & Payment
Confirmed orders are subject to a separate purchase agreement. Payment terms include TT (telegraphic transfer), L/C at sight, deferred L/C, and open account for established buyers. Payment terms are agreed per buyer and per order.
5. Shipping & Delivery
Adnoor ships internationally via containerised freight. Available Incoterms: FOB, CIF, DDP. Typical lead time is 4–6 weeks from confirmed order to port arrival. Shipping timelines are estimates and subject to port congestion, customs clearance, and carrier schedules. Risk of loss transfers per the agreed Incoterm.
Samples: Complimentary samples (1–2 kg) are shipped via DHL or FedEx from Mississauga, Canada, with full tracking. Sample shipping costs may apply for international destinations.
6. Refund & Claims Policy
Claims for damaged, short-shipped, or non-conforming goods must be submitted in writing within 14 days of receipt, accompanied by photographic evidence and lot numbers. Adnoor will investigate and, at its discretion, offer replacement, credit, or refund for verified claims. Claims not submitted within the 14-day window may not be honoured.
Goods that have been opened, repackaged, or otherwise tampered with after delivery are not eligible for refund unless the non-conformance was present at the time of shipment.
7. Private Label & Co-Packing
Private-label orders require artwork approval and minimum order quantities (MOQ). Once artwork is approved in writing, Adnoor begins production. Cancellations after artwork approval are subject to a restocking fee of up to 25% of the order value. Adnoor retains no rights over customer brand artwork or trademarks.
8. Intellectual Property
The Noor platform, including its design, code, content, and AI assistant, is the property of Adnoor Inc. and its technology partners. You may not copy, reverse-engineer, scrape, or redistribute any part of the Platform without written permission.
9. DMCA & Copyright
Adnoor respects intellectual property rights. If you believe content on the Platform infringes your copyright, contact legal@adnoor.ca with a description of the claimed infringement, your contact information, and a statement of good faith belief.
10. Acceptable Use
You may not: scrape or crawl the Platform; abuse or spam the Noor AI chat; misrepresent your identity or business; use the Platform for any purpose other than legitimate trade enquiries; attempt to access other users' accounts or data.
11. Limitation of Liability
To the maximum extent permitted by law, Adnoor's total liability for any claim arising from use of the Platform is limited to the value of goods actually purchased by you in the preceding 12 months. Adnoor is not liable for indirect, consequential, or punitive damages.
12. Governing Law
These terms are governed by the laws of the Province of Ontario, Canada. Any dispute shall be resolved in the courts of Ontario, Canada.
13. Changes
We may update these terms periodically. Continued use of the Platform after changes constitutes acceptance.
